Zhumu User Purchase Agreement

Welcome to use Zhumu paid version service!

In order to use Zhumu paid version service (hereinafter referred to as "this service"), please read and comply with the "Zhumu paid version service agreement" (hereinafter referred to as "this agreement") carefully.

This agreement is jointly concluded by you and Suirui Technology Group Co., Ltd. (hereinafter referred to as "Suirui") and has the effect of a contract. This agreement is a supplementary agreement to the "Zhumu video communication cloud service software license and service agreement" and the "Zhumu privacy policy," and constitutes a unified whole with them. In case of any conflict between this agreement and the aforementioned documents, this agreement shall prevail.

The terms of this agreement that are of significant interest to your rights and interests may be marked in bold and require your attention. If you do not agree to all or part of the terms of this agreement, please do not continue to place an order to purchase or use this service. If you place an order to purchase this service, your actions such as clicking "buy now," payment, checking this agreement, and using this service indicate that you have carefully read and agreed to all the terms of this agreement.

If you are under 18 years old, please read this agreement with the accompaniment of your guardian and purchase and use this service with your guardian's consent.

Section 1.Zhumu Paid Version Services

1.1 Zhumu Paid Version Services refer to the specific services and paid benefits available to Zhumu Paid Version Users within the Zhumu application, including but not limited to unlimited daily meeting duration and the ability to host multi-party meetings up to the maximum product limit. You can purchase Zhumu's paid version video communication cloud service provided by Suirui through the Zhumu official website (referred to as the "Zhumu Website") and/or the Zhumu APP (the Zhumu Website and Zhumu APP collectively referred to as the "Zhumu Platform").

1.2 You can place an order for Zhumu video communication cloud services on the Zhumu Platform purchase page by selecting a "Zhumu Video Communication Cloud Service" package. The paid packages available for you to choose from include, but are not limited to, the packages listed on the Zhumu Platform order page (subject to change).

1.3 Special Note, please pay attention to the following:

1.3.1 Total meeting duration: refers to the total duration of all participants in the meetings you initiate. Your meeting duration is not counted when you participate in meetings initiated by other users.

1.3.2 If the total meeting duration you use exceeds the accumulated total meeting duration of the package during the service period, your paid account will be automatically adjusted to a free account, and you can enjoy the corresponding services of the free account. Alternatively, you can choose the professional version package for renewal.

1.3.3 You understand and agree that the Zhumu paid version service you purchase is a monthly package service with a total meeting duration limit. At the end of the service period, the service enjoyed by your professional version account will be terminated, and the balance of the cumulative usable meeting duration will be cleared. If you purchase a new package during the professional version service period to renew the service period, the cumulative usable meeting duration will be automatically carried over to the service period of the new package.

Section 2.Purchase of Services

2.1 If you activate and use the paid version of Zhumu service, you need to register a Zhumu account on the Zhumu platform and complete the real-name authentication. After registration, you can use your Zhumu account to log in and enjoy the paid version of Zhumu service during the validity period of the purchased service. Your account will be upgraded to a paid account during the validity period of the paid version, and you will enjoy the service benefits of a paid account.

2.2 Suirui has the right to independently set prices for its virtual digital products (including various products under the paid version of Zhumu) based on its own operations and cost changes. Before each price adjustment, Suirui will make a corresponding announcement on the Zhumu platform. Please pay special attention to the price of the product before purchasing.

2.3 You can choose to pay through WeChat or Alipay. After you agree to this agreement, you can pay by scanning the payment QR code generated by the Zhumu platform. Once the payment is confirmed by the platform, the service will be activated.

2.4 If you need an invoice, you can apply for it online through the platform or contact Suirui's 24-hour customer service hotline at 400-010-6066.

2.5 Due to the nature and characteristics of virtual products, please understand that the paid version of Zhumu service you obtain as a virtual product does not support returns or exchanges. You can try the free version of Zhumu before purchasing.

Section 3. Function Description and After-sales Service

This service can achieve interactive video conferencing and multi-party audio and video interaction. Based on its own video cloud exchange service platform and real-time interactive network technology and products, Suirui provides you with real-time cloud video conferencing services. In particular, you understand and agree that if you install and log in to Zhumu for the first time on any device, Zhumu will activate the screen sharing (document sharing) function service for you within 24 hours after your first login on that device. If there are any usage problems with the software service account during the validity period of this agreement, you can contact us through the after-sales hotline or within the Zhumu platform. Suirui will make a clear response and arrangement within one working day after receiving the notification.

Section 4.Your Rights and Obligations

4.1 You may install, use, display, and run the Suirui software service on multiple terminal devices for commercial purposes. However, you can only host one meeting at a time under the same account.

4.2 You must provide true and accurate information about yourself and any user according to the mandatory requirements of the national real-name system for the internet. Your account is for your personal use only and cannot be transferred to any third party outside of this agreement or authorized for use by any third party. You are solely responsible for all content transmitted through your account. You may not use the software and related services to disseminate materials that are reactionary, violent, defamatory, threatening, obscene, or otherwise infringe upon the intellectual property or legal rights of any third party, harm public order and good customs, or violate any laws and regulations. Otherwise, Suirui has the right to immediately terminate your service.

4.3 You agree not to illegally copy, borrow, sell, or disseminate any software, product, service, material, or information provided by Suirui, and you may not engage in any reverse engineering, decoding, or decompilation of such materials. If Suirui discovers that you have engaged in any of the above actions, it has the right to immediately terminate this agreement and pursue your legal responsibilities.

4.4 You understand and agree that this software service may be affected by various factors, including but not limited to your own reasons, network service quality, social environment, and various security issues (including but not limited to others illegally using your information, downloading and installing other software or accessing websites that contain viruses, Trojan horses, or other malicious programs that threaten the security of your computer information and data and thus affect the normal use of this software). Therefore, you should strengthen your awareness of information security and protection, pay attention to the protection of your account and password, and avoid losses.

Section 5.Suirui's Rights and Obligations

5.1 Suirui shall protect your information in accordance with relevant national laws and regulations. Without your consent, Suirui shall not disclose your user and meeting information to any company, organization, or individual, except as otherwise provided by laws and regulations.

5.2 In order to enhance the user experience, improve service content, ensure the security of the service and the consistency of its functions, Suirui shall actively develop new software functions and provide software update services for you during the validity period of this agreement (these updates may take the form of software replacement, correction, function enhancement, version upgrade, etc.).

5.3 Suirui promises that software updates under this agreement are free services, but if there are additional paid functional modules after the software update, you need to pay separately to Section

Section 6.Exemption and Special Terms

6.1 In case of software product or system platform malfunction caused by telecommunication network access failure of the basic telecom network operator, routine suspension of maintenance, or improper operation by user staff, Suirui shall be exempt from breach of contract and compensation liability.

6.2 To the maximum extent permitted by the People's Republic of China, neither Suirui nor its third-party suppliers (including but not limited to licensors of real-time interactive network service technology and products) shall be liable for any consequential, special, incidental, indirect damages (including but not limited to loss of business profits, business interruption, loss of business information, purchase of substitute products and/or services, or other monetary losses).

Section 7.Protection of Confidential Information

During the term of this Agreement or after its termination, each party shall take secure and effective measures to protect the other party's business and technical secrets in accordance with relevant laws and regulations of the country, the Zhumu Video Communication Cloud Service Software License and Service Agreement, and the Suirui Privacy Policy. Neither party shall disclose any confidential information obtained from the other party during the process of signing and executing this Agreement to any third party unless such disclosure is required by relevant national laws and regulations or orders.

Section 8.Liability for Breach of Contract

8.1 If you violate the real-name authentication requirement in this Agreement, Suirui has the right to refuse your continued use of the software or provision of subsequent services until you complete the authentication, and shall not be liable for any responsibility.

8.2 If you engage in other illegal or immoral behaviors listed or not listed in this Agreement, Suirui has the right to terminate your use of the software and require you to compensate Suirui for any losses incurred (including but not limited to lawyer's fees, litigation fees, appraisal fees, preservation fees, compensation, and settlement fees).

8.3 If you are affected by product malfunctions, you can request Suirui to extend the service period according to the duration of the malfunction.

Section 9. Force Majeure

When the following circumstances occur due to force majeure and result in the inability to perform this Agreement, both parties shall not be liable for breach of contract:

9.1 Inability to perform this Agreement due to changes in national laws and regulations, administrative and judicial orders, or other policies.

9.2 Inability to perform this Agreement due to wars, earthquakes, fires, floods, typhoons and all other natural disasters that are unforeseeable and unavoidable in their occurrence and consequences, or due to unforeseeable accidents such as strikes, actions of government or military agencies, epidemics, riots, illegal network attacks, etc., that are not avoidable and have unavoidable consequences.

9.3 Inability to perform this Agreement due to accidents, maintenance, damage, interruption of communication lines of the telecommunications department, power outage of the power supply department, or signal interruption caused by reasons related to the telecommunications or power supply department.

Section 10.Notification and Delivery

10.1 Suirui will send various notices under this agreement to you through one or more methods, such as the electronic mailbox and mobile phone number you provided, notices on the official website of Zhumu, application messages, public account notifications, regular mail delivery, or other methods permitted by law, according to the actual situation. You agree and understand that notices under this agreement will be deemed delivered to you on the date of sending.

10.2 To facilitate your receipt and understanding of relevant notices, you should ensure that the contact information you provided is correct and valid, and promptly log in to Zhumu or contact Zhumu customer service to make changes after any updates. If you fail to provide correct contact information or fail to inform Zhumu of any new contact information in a timely manner, resulting in failure to receive notices in a timely manner, you shall bear the losses and legal consequences arising therefrom. At the same time, if you refuse or block notices through unsubscribe or other means, you may not receive the aforementioned notices, and you shall bear the losses and legal consequences arising therefrom.

Section 11. Applicable Law and Dispute Resolution

11.1 The interpretation, validity, and dispute resolution of this agreement shall be governed by the laws of the People's Republic of China, except for conflict of laws.

11.2 Any dispute arising from or in connection with this agreement shall be resolved through consultation between the parties. If the parties fail to reach an agreement through consultation, either party may bring a lawsuit in the people's court with jurisdiction over the place where the contract was signed.

Section 12.Other Matters

12.1 This agreement is a supplementary agreement to the Zhumu Video Communication Cloud Service Software License and Service Agreement and the Zhumu Privacy Policy, which constitute a unified whole and are binding on you. In the event of any conflict between this agreement and the aforementioned agreements, this agreement shall prevail.

12.2 This agreement also includes any agreements, service descriptions, service announcements, and other content related to this service that Suirui has published or may publish and update from time to time on the Zhumu official website. Once published, the aforementioned content shall be deemed a part of this agreement and shall be legally binding on both parties.

12.3 The invalidity of any clause or part of this agreement does not affect the validity of the other clauses.

12.4 The titles of all provisions in this agreement are for convenience and ease of reading, and have no substantive meaning and cannot be used as the basis for interpreting the meaning of this agreement.

12.5 The place of signing this agreement is Haidian District, Beijing.
